Why Compare When You Can "AI"?

Last week, an investment banker asked us, "Why do document blacklines still matter when I can ask [a generative AI tool] for the answers?"

This question cut to the heart of what lawywers do. In an age where AI can analyze contracts and flag issues automatically, why would a lawyer care about seeing a blackline comparison?

If we are generous, we can politely say "that's a fair question." After all, we can also imagine a world where generative AI is so intelligent and reliable that it can assess every circumstance surrounding a document:

  • understanding the internal logic of the document,

  • tracking negotiation history of each provision,

  • monitoring applicable regulatory requirements, and

  • pre-empting risks and responses based on market trends.

But, this auto-magic world isn't here yet.

Where the Real Intelligence Lives

Most of the critical context needed to properly review a document still lives in the minds of legal experts. When lawyers review contracts, they are contemplating:

  • the macro environment – past trends and future risks

  • legal and regulatory frameworks – compliance requirements and evolving standards

  • negotiation history – how the document evolved through multiple rounds of comments

  • internal consistency – whether provisions align and support each other

Their knowledge informs every change to a document. The challenge is that even the best lawyers would find it hard to consider all of these factors every single time a new document or version lands on their desk. Lawyers would never finish reviewing anything.

The Power of Focus

This is where blackline comparisons become invaluable.

A blackline doesn't just show changes — it focuses attention. It throws a spotlight on only what has changed, allowing lawyers to assume that unchanged portions represent previously assessed and accepted risks. Anything marked in red or blue represents a potential new exposure that demands fresh consideration.

When lawyers spot a change, their decision is binary:

  • Approved – with clear reasoning for why the change is acceptable

  • Reject – with specific concerns that need addressing

To make those decisions efficiently, lawyers first need to see the changes clearly. They need to filter signal from noise.

Demand for Comparisons is Changing

Possibly fueled by generative AI tools, traditional one-to-one comparisons that work beautifully for one-to-one comparisons are often inadequate now.

Consider these scenarios:

(a) Multiple Counterparties

When three different parties submit comments on the same agreement, how do lawyers track who requested what? Flipping between ten different versions and mentally consolidating changes isn't just inefficient — it's a recipe for mistakes.

(b) Trend Analysis

Sometimes lawyers need to see how a document evolved across 5, 10, or even 20rounds of negotiations. What patterns emerge? Which provisions keep getting contested?

(c) Complex M&A Transactions

Corporate lawyers specializing in mergers and acquisitions deal with multi-party, multi-document arrangements constantly. They've been solving this problem internally for years — stitching together one-to-one comparisons with manual effort and clever workarounds.

But these improvised solutions don't scale. They can't adapt dynamically as deals evolve.

These are problems the Super Comparer is designed to solved. We don't just show you what changed — we let lawyers:

  • View all changes in a single consolidated view across multiple documents

  • Identify which party made which changes in multi-party negotiations

  • Process new versions dynamically as deals evolve in real-time

  • Drill down into specific focal points and take action immediately

It's the next level of document comparison.

Not Just Focus, But Action

We believe that better tools don't replace human expertise — they amplify it. By eliminating the noise and highlighting what truly matters, we free lawyers to do what they do best: apply their judgment, experience, and contextual knowledge to protect their clients' interests.

The real value of legal work isn't just about spotting changes. It's about understanding what those changes mean — and having the focused attention to act on them wisely.
